Section1.01Contract.
The term "Contract" means and includes all contract documents, including but not limited to the Specifications;
Drawings;BiddingInstructions;ConstructionContract;ChangeOrders;AddendumandExhibits;andContractorsProposal.
Section1.02ProgressPayment
Theterm"ProgressPayment"means anyinstallmentoftheContractPricepayable inthemannerspecifiedherein.
Section1.03Work
Theterm"Work"meansalllabor,materials,andequipmentnecessarytobefurnishedbyContractortoperformfully
thecontract.

Section3.02Payments
a)
b) AllmoniespaidtoContractorshallimmediatelybecomeandconstituteatrustfundandshallbeappliedby
Contractorforthebenefitofallpersonssupplyinglabor,materials,orequipmentinconnectionwiththe
Contract and shall not be diverted to any other purpose until the claims of all such persons have
been
discharged.
c) Payments,otherwiseduetheContractor,maybewithheldonaccountofdefectiveworknotremedied,or
claims filed or evidence that claims willbe filed: orif the ownerbelieves that the Contractor (i) can not
completetheworkfortheunpaidbalanceor(ii)cannotperformwithinthe
timespecifiedor(iii)doesnot
havethefinancialabilitytoperformor(iv)lapsesofinsuranceorfailureto provideevidenceofinsurance.
Section3.03ConditiontoPayments
ExceptforanyinitialpaymentcontainedinSection3.02,TheOwnershallnot berequiredtomakeanypaymentsunless
anduntilContractorsubmit
witheachinvoicea dulysignedandNotarizedWaiverofLienandanaffidavitthatContractorhas
paideveryworkeremployedbyitandhasreceivedpartial(inthecaseofprogresspayments)andfinal(inthecase offinal
payment)WaiversofLienfromallsubcontractorsandmaterialmensupplying
servicesand/ormaterialsontheProject.
Section3.04NoticeofCompletion
UponcompletionoftheProject,ContractorshallnotifyOwnerthattheProjectisreadyforfinalinspection.Thereafter,
OwnershallpromptlyinspecttheProjectand,ifitmeetswiththecontractedspecifications
,makefinalpayment.
Section3.05FinalPayment
NeitherPaymentto Contractor,noranyacceptance,occupation,orutilizationoftheProjectoranypartthereofby
OwnershallrelieveContractorofliabilityforfundsowedtoanysubcontractorsormaterialmen;fordefectivemateria ls;or
workmanshipusedintheconstructionoftheProject;
orforfailuretoconstructtheProjectaccordingtotherequirementsof
theContract.TheacceptanceoffinalpaymentshallconstituteawaiverofallclaimsbyContractoragainsttheOwnerexcept
thosepreviouslymadeinwritingandstillunsettled.
Section3.06Termination
IftheContractorfailstoperforminaccordancewith
thetermsofthisContract,oriftheOwnerisnotsatisfiedwith
theprogressorqualityoftheContractor’swork,OwnershallbeentitledtoterminatethisContractupongivingwrittennotice
toContractor.Intheeventofsuchtermination,Contractorshallbeentitledtopaymentforservices,laborandmaterials
to
date;providedhowever,Ownerdoesnotdisputesuchobligationinthenoticeoftermination. Terminationunderthisprovision
isnotawaiverofanyremediesinlaworequitythatOwnerhasforbreachofcontract,tortoranyothertheoryavailableunder
FloridalaworthisContract.Allsuchrights
arereservedbyowner.Nothinghereinshalllimitanyrightscontractormayhave
underthisContract.
ARTICLE4.PERMITS,TAXES,COMPLIANCE
Section4.01Permitsandfees
Contractorshallsecurethe buildingpermit,ifrequired,atOwner’scost;andContractorshallsecureatitsowncost
othersuchpermits,inspections,licenses,andapprovalsasmayberequiredunderallapplicablebuildingcodes,ordinances,laws
or regulations for the Work.Should any patented article, design
or process be used in the construction of the Project,
Contractorshallobtaintherighttousethesame,shallpayallroyaltiesandlicensefeeschargeableoroccurringbecauseofsuch
use,andshalldefendandholdOwneranditspropertyfreeandharmlessfromallcost,demands,suits andliabilities
arising
becauseofsuchuse.
Section4.02Taxes
Contractorshallpayemploymentandpayrolltaxesandcontributionsnoworhereafterwithrespecttoallpersons
employedbytheContractor.

Section4.03CompliancewiththeLaw
ContractorshallcomplyfullywiththeallFederal,StateandLocallaws,codes,andregulationsapplicabletothework
(including
allsafetyrequirements)andacknowledgesthatithasinformeditselfcompletelyinthisregardandagreesthatitwill
complyfullytherewith.ShouldContractorbecomeawarethatanyprovisionoftheContractisatvariancewithanysuchlaw,
rule,regulation,ordinance,or order,it shallpromptly givenoticein writing
toOwnerofsuch variance,and thenecessary
changesintheworkrequiredbytheContractshallbemadeandadjustedinthemannerspecifiedhereinforchangesinthe
Work.Contractorshallmaintainatalltimessuchsafeguardsforthe protectionofpersonsemployedontheProjectasthe
conditionsand
progressoftheWorkontheProjectmayrequire;ANDconspicuouslypostsuchsignsasmaybenecessarytowarn
personsofallhazardsasexistingwheretheProjectisbeingerected.
ARTICLE5.THEWORK
Section5.01LaborandMaterials
Contractorshallprovideandpayforalllabor,materials,equipment,tools,machinery,anddoallotherthingsnecessary
fortheproperperformance incompletionoftheWork.AnymaterialdeliveredorWorkdoneshallbecomethepropertyofthe
Ownerandshallnotberemovedwithoutthe
consentoftheOwner.
Section5.02RepresentationsofContractor:
Contractorrepresentsandwarrantsthat:(1)ithasreadallofthetermsandconditionsofthiscontract;(i.e.allcontract
documents);(ii)ithasphysicallyinspectedthejobsiteandisawareofalloftheconditions andlimitationsofthesite
thatmight
effecttheworkcontemplatedbythisagreement;(iii)itisawareofthe equipmentneededtoperformtheworkbaseduponthe
typeandcharacterofthe facilitiesatthejobsite;and(iv)itisnotrelyinguponanyrepresentationoropinionsofOwnerthat
arenot otherwisecontained
inthisContract.Basedupontheserepresentationsandwarranties,Contractorshallfullyperform
every detail of the requirements of the Contract and Contractorassumes fullrisk of any difficulties that it might occur in
performingthework.Contractor'sfailureofperformancewillnotbeexcusedonthebasisofignoranceofjob
siteconditions
orlimitationswhichgiverisetodifficultiesindoingthework;norwillitbethebasisforextensionoftimetocompletework.
ThisparagraphshallnotbeapplicabletoanyreportstobeprocuredbyOwnerforContractor’suseinperformingtheWork,until
suchtimeasOwner
providessuchreportstoContractor,who shallthenhaveten(10)daystoreviewthesame.IfContractor
failstoobject toanyinformationinsuchreports,thentheprovisionsofthis paragraphshallbecomeapplicable.
Section5.03QualityofMaterials
Contractorwarrantsthatallmaterialsusedintheconstructionof
theProjectshallbenew orrepairedasindicatedand
allworkmanshipandmaterialsusedintheconstructionoftheProjectshallbeofgoodquality,freefromfaultsanddefectsand,
in conformity with the Contract documents unless otherwise specified in the Contract. All Work not conforming to these
standardsshall
beconsidereddefective.
Section5.04DutiesofContractor
Contractor shall have full and complete responsibility for the Work until final acceptance. Contractor shall take
reasonablestepsto protecttheworkmen,property,andequipmentofothercontractorsagainstinjuryordamagearisingout
oforconnect edwiththeoperationsconductedbyContractorhereunder.Contractor
waivesallrightsitmighthaveagainst
OwnerforlossordamagetoContractor'sWork,propertyormaterialsarisingoutoforconnectedwiththeoperations ofthe
OwneroranyothercontractorshiredbyOwner,unlesscausedbytheOwner.
Section5.05AccesstoWork
ContractorshallprovideOwnerwithready
accessatanytimetotheWork,whetheritbeinpreparationorprogress,
forthepurposeofinspection.

Section5.06ChangesinWork
a) TheOwnerreservestherightbywrittenordertomakeanychangeincludingadditions,reductionsordeletions
in the work or materials to be furnished hereunder or may order additional work not shown in the Cont ra ct
Documents.If Contractorshallclaimthatanysuchchangeshallincrease
thecostortimeofperformanceoftheWork,
itshallbewithintencalendardaysofreceiptofsuchorder,givewrittennoticeofaclaimforadditionalcompensation
or for an extension oftime and theparties shall agree upon an equitable adjustment.Contractor shall not delay
proceedingwiththe
Workaschangependingsuchagreement.
b) Contractorshallnotbeentitledtoadditionalcompensationwhetherformodifications oradditionstothe
WorknotcoveredintheContractDocumentsorforextralaborormaterialsfurnishedunlessperformedorfurnished
pursuanttoa priorwrittenordersignedbyOwner.
c) AnychangedoradditionalWork
performedbyContractorasorderedbyOwner,shallbeperformedpursuant
to,inaccordancewith,andsubjecttoalltermsandconditionsoftheContract.
Section5.07Time
a) AlltimelimitsstatedintheContractDocumentsareoftheessenceoftheContract.
b) Contractorshallbeginworkonorbeforethedate
established,tobenotlessthanfourteen(14)daysfrom
issuanceofthebuildingpermitorsuchotherdateasthepartiesagreeinwritingandshallcarrytheworkforward
expeditiouslywithadequateforcesandcompleteiton____________(orwithinnumberofdays).
Section5.08Warranties;Guarantees
a) TheContractorwarrantsandguarantees
thatallequipmentandsystemsshallbeinstalledinaccordancewith
theContractDocumentsinthemostworkman‐likemannerandwillperformasspecifiedherein.
b) AtanytimeduringorafterinstallationContractorshallrepairandreplaceimmediatelyanyandallWork
togetherwithanyadjacentworkwhichmaybedisplaced
bysodoing,thatmaybedefectiveinmaterial,installation,
orworkmanship.
c) ContractorwarrantsandguaranteesallequipmentandsystemsfurnishedorinstalledbyContractorfora
periodof
fromthedateofacceptance,orforsuchlongerwarrantyperiodsasmaybe
accordedbythemanufacturerthereoforlawagainstdefectivematerials,designandworkmanship.
d) IntheeventContractorfailstoinitiatecorrectivemeasureswithinten(10)daysafterbeingnotifiedinwriting
bytheOwnerandcompletesuchcorrections
promptlytherefore,theOwnerisauthorizedtoproceedtohavesaid
defectrepairedandContractorshallpayallcostsandchargesthereforeupondemand.
e) Withregardto anywarrantiestobe furnishedforthework,services,equipmentormaterialsunderthis
Contract,Ownershallnotbeobligatedtowaiveanyexpressor
impliedwarrantiesasaconditiontoacceptingthe
writtenwarrantytobeprovided.
Section5.09UseofProject
TheusebytheOwnerofanyportionoftheProjectshallnotaffectthedatesandtimeswhenProgressPayments
becomeduetoContractorandshallnotprejudiceOwner'srightsundertheContract.
Section
5.10CleaningUp
Contractorshallconfineitsoperationatthesitetoareapermittedbylaw,ordinancesandtheContractDocumentsand
shallkeepthepropertyoftheOw ne r freeofalloftheaccumulatedrubbishandwastematerials.Uponcompletionofthe
Project,Contractorshallpromptlyremoveallrubbishandwaste
materialsalltemporarystructures,andallequipmentusedby
itinperformingtheContract.IfContractorfails tocleanup,Ownermaydosoandthecost thereofshallbechargedtothe
Contractor.

ARTICLE6.SUBCONTRACTORS
Section6.01PaymentstoSubcontractors
Totheextentthat Contractorshalluseanysubcontractors,Contractorshallpayeachsubcontractor,inanamount
equaltothepercentageofco mpletionallowedtoContractoronaccountofsuchsubcontractor'swork.Contractorshallalso
requiresubcontractortomakesimilarpaymentstoitssubcontractors.Ownershallnot
haveanyobligationtopayortoseethe
paymentofanymoniestoanysubcontractor.NothingcontainedintheContractDocumentshallcreateanycontractrelation
betweenOwnerandanysubcontractor.
ARTICLE7.INDEMNITYANDINSURANCE
Section7.01Indemnification
Eachpartyshalldefend,indemnify,andholdfreeandharmlesstheotherparty,theiraffiliatedentities,directors,
officers,employeesandagents,fromanyandallclaims,losses,damages,injuriesandliabilitiesarisingfromthedeathorinjury
ofanypersonorpersons,includingemployeesofContractoranditssubcontractors,
orfromdamageordestructionofany
propertycausedbyorconnectedwith,inwholeorinpart
,performanceoftheContractbyContractor,itssubcontractorsortheir
agentsoremployees.
Section7.02Insurance
a) Contractor,atitsownexpense,shallprocure,careandmaintainforallofitsoperationshereunderinsurance
incompaniesapprovedbytheOwnerwhichshallincludethefollowing:
1.Worker’sCompensationandEmployer'sLiabilityInsurancefor
him/herandallthoseperformingwork
underthisContract.
2.ComprehensiveGeneralLiabilityInsurancewithatleast OneMillion Dollars($1,000,000.00)forliability
coveragewiththe Owneraddedasan“additionalinsured”underthesubjectpoliciesandacertificatestating
suchsuppliedtothe Owner.
b) Before Contractor shall commence Work, Contractor shall give
to owner a Certificate of Insurance and
continuetomaintain andprovideproofofinsuranceduringthedurationofthisContract.
SECTION8.MISCELLANEOUS
Section8.01Litigation
a) ShouldanylitigationbecommencedbetweenthepartiesconcerningtheProject,anyprovisionoftheContract
ortheperformancethereof,theprevailingpartyshallbeentitledtocourtcostsandattorneyfeesinsuchlitigation.
b) ThevenueforanylitigationshallbePinellasCounty,Florida.
c) Thepartiesagreethatprior
toundertakinganylitigatio n,theywillfirstmediatethedisputeusingaCircuit
CourtMediatorfromtheSixthJudicialCircuit.Further,arbitrationmaybeusedtosettleContractmattersbutisnot
mandatorytoeitherparty.
Section8.02Assignment
Anyassignment,byoperationoflaworotherwise,inwholeorinpart,
byContractororContract,oftheWorktobe
performedoranyrighttopaymentorclaimsarisinghereunderwithoutthepriorwrittenconsentoftheOwnershallbevoid.
Anyattemptofanassignmentshall bedeemedadefaultunderthetermsofthisagreementandtheownershallbeentitled
tocancelthesameandexerciseanyandallotherrightsandremediesthatOwnermayhave.
Section8.03Severability
IfanyprovisionoftheContractshallbeheldinvalid,inwholeorinpart,thentheremainingprovisions,orportions
thereof,shallneverthelessbeandremaininfullforceandeffect.

Section8.04Asbestos
TheContractorshallcertifythatasbestos‐containingbuildingmaterials werenot usedonthisproject.Further,should
ContractorencounteranyACMduringtheperformanceoftheContractor’sduties,ContractorisrequiredtosuspendanyWork
andimmediatelyreportsuchfindingstoOwner,andshallcooperatewithOwneras
totheappropriateremedialactiontobe
taken.ContractorrepresentsandwarrantsthatanydemolitionandremovalofACMwillbedoneaccordingtoallapplicable
codes,ordinancesandlaw,whetherFederal,Stateorlocal.
Section8.05Coordination
TheContractorshallcoordinatehisactivitieswiththoseoftheOwnerandwiththe
Owner'sotherdirectContractors
whomaybeonthesite.TheOwnerreservestherighttochangethedatetoonemutuallyagreeduponinthe eventthata
specialoccasionpreventsvacancyofthefacility. Apre‐constructionmeetingmusttakeplaceatleastfive(5)daysbefore work
commences.
Section8.06
SafeEnvironment
ContractoracknowledgesandagreesthatOwneriscommittedtoprovidingforthesafetyandwell‐beingofits youth,
itselderlyandaged,anditsdisabled.Contractorrepresentsandwarrantsthatallpersonsaffiliatedorassociatedwiththe
Contractor who have access to the Premises by virtue of this Agreement,
shall meet the minimum level 2 screening
requirementsofSection435.04,FloridaStatutes,andContractorshallperformallnecessarybackgroundinvestigationstoendure
suchcompliance.IfOwnerisnotsatisfiedthatthisrequirementhasbeenmet,OwnermayrequestthatContractororany
personaffiliated with Contractor be prohibitedfrom accessing the
Premises,and Contractor shall immediately vacate the
PremisesorprohibitsuchpersoninviolationfromaccessingthePremises.Contractorshallbestrictlyliableforanyinjury,loss
and/ordamagetoanyperson,andshallindemnifyandholdOwnerharmlessfromanyclaims,resultingfromContractor’sfailure
tocomplywiththeserequirements.
