1.License



Youaregrantedalimited,revocable,nonexclusive,nonsublicensable,nontransferablerightand

licensetoaccessre motelyanduseCal‐TekCo.,Inc.’scalibrationdatabaseintheiPortalinterface

software,and/orsuchothersystems,informationandmaterialsthatCal‐TekCo.,Inc.maymake

availabletoyoubyissuinganaccesscode

andpassword(Cal‐TekCo.,Inc.’scalibrationdatabaseinthe

IPortalinterfacesoftwareand/orsuchothersystems,informationandmaterialsbeinghereinafter

referredtoasthe“ClientCalibrationDatabase”).UseofthisClientCalibrationDatabaseisrestricted

toauthorizedusers.Unauthorized,illegalorimproperusemayresultindisciplinaryactionand

civilor

criminalprosecution.NotwithstandinganythinginthisAgreementtothecontrary,alluseoftheClient

CalibrationDatabaseshallbestrictlyinaccordancewithCal‐TekCo.,Inc.policiesandapplicablelaws.

Youshall,atalltimes,limityouruseoftheClientCalibrationDatabasetoaccessinformation

regarding

yourcompany’sinstrumentsonlyandshallnotusetheClientCalibrationDatabasetoaccess

(orattempttoaccess)thirdpartyinformation.



2.Ownership



TheClientCalibrationDatabaseislicensed,notsold.TheClientCalibrationDatabase(including,

withoutlimitation,itslayout,interfaces,functionalityandincorporatedimages,textandothermedia)

isthesoleandexclusivepropertyofCal‐TekCo.,Inc.anditslicensorsandisprotectedbydomestic

andinternationalcopyrightandother

intellectualpropertylaws.



3.Accesstoservices



InordertopermityoutoaccesstheClientCalibrationDatabase,Cal‐TekCo.,Inc.willprovideyouwith

oneormoreaccesscode(s)andpassword(s).Youshallnotdivulgeordiscloseanyaccesscodeor

passwordtoanypersonoutsideofyourcompany.Youmaynotuseanyaccess

codeorpassword

shouldyouremploymentwithyourcurrentemployerbeterminatedforanyreason.



4.Verification



YouacknowledgethatCal‐TekCo.,Inc.maymonitoryouractivitiesontheClientCalibrationDatabase

atCal‐TekCo.,Inc.’sdiscretion,inaccordancewithapplicabl elaws,andyouconsenttosuch

monitoring.Inaddition,uponnoticefromCal‐TekCo.,Inc.,youshallprovideCal‐TekCo.,Inc.with

suchinformation,access,andassistanceastheymayreasonablyrequire.



5.Disclaimer



TheClientCalibrationDatabaseandaccesstheretoareprovided“asis”withoutanywarrantyofany

kind,andyouruseoftheservicesissolelyatyourownrisk.Cal‐TekCo.,Inc.doesnotwarrantthatthe

ClientCalibrationDatabaseoraccesstheretowillmeetyourrequirementsorthat

theoperationwill

beuninterruptedorerror‐free.Cal‐TekCo.,Inc.doesnotwarrantthattheinformationcontainedin

theClientCalibrationDatabaseisaccurateorerror‐free.



6.Limitationofliability



InnoeventshallCal‐TekCo.,Inc.beliableforanydamages,whetherdirect,indirect,special,

consequential,punitive,exemplaryorotherwise,includinglossofrevenues,income,profitsor

savings,arisingoutoforrelatingtotheClientCalibrationDatabaseoraccess(orlackofaccess)

thereto.TermsandConditions

subjecttochangeatthesolediscretionofCal‐TekCo.,Inc.


