1. Both parties, by their signatures below, represent and warrant that they are a.) over the age of 18 and have the intent and capacity to enter into a

binding agreement and b.) the products and services offered for barter can legally be exchanged by them, and c.) the information included here is correct, to

the best of their knowledge.

2. Both parties agree to abide by delivery schedule and deliver their products and services in good and workmanlike condition.

3. The laws of the state of Colorado shall govern this Agreement.

4. The prevailing party in any dispute between the parties shall be entitled to be paid, by the non-prevailing party, for all legal fees and out-of-pocket

expenses incurred in connection with such dispute.

5. Neither party may assign its obligations under this Agreement or any document executed by it in connection herewith without the prior written consent

of the other party.

6. This Agreement cannot be changed orally, but only by instrument in writing, signed by both parties.
