[Accounting Firm] was engaged by [Client] to [insert services provided].
Thisletterconfirmsthateffective [Date], [AccountingFirm] resignsfromall
engagementswithorfor[Client].Duetothisterminationofprofessionalservices,
certain aspects ofsomematters[Accounting Firm]wasworkingonwerenot
completed.[AccountingFirm]willnotprovideanyfurtherprofessionalservicesand,
accordingly, is not responsible for completing any unfinished work. [Client]
acknowledgesthat[AccountingFirm]hasnotcompletedsomework,andfurther
acknowledgesthatallunfinishedworkisbeingturnedoverto[Clientand/orClient’s
new accountants] unfinished and “as is.”
[AccountingFirm]agreestocooperatewith [Client’s] newaccountantstoa
reasonableextent.[Client]acknowledgesthatalloriginaldocumentsin[Accounting
Firm’s]possessionhavebeenreturnedto[Client].

[Client]alsoacknowledgesthatit
hasreceivedcopiesofalltaxreturnsandfinancialreportspreparedorissuedby
[AccountingFirm]andhasbeengivencopiesofallinformationnecessarytomeetits
future needs. [Accounting Firm]agrees to give[Client’s]new accountants access to its
workpapers (if access is requested) and provide copies of the workpapers as
[AccountingFirm]deemsappropriate.[Client]acknowledges that[Accounting
Firm’s] workpapers are the exclusive property of [Accounting Firm].
Since someprofessional services remainunfinished, it isimportant toremember
that some of thesematters are time sensitive and requirecompletion and/or filing bya
certain date. In particular, [describe time sensitive assignments and date they must be
completedand/or filed]. Ifthese mattersarenot completedwithin thetimeprovided,
theremaybeadverseconsequences,suchas[generallydescribeconsequences,i.e.,
penalties, loss of credit line, etc.]. It is[Client’s] sole responsibility to ensure that these
matters arecompleted and/orfiled ina timely fashion,and, asstated above,
[Accounting Firm]is not responsible for completing these tasks or ensuring their timely
completion or delivery.

[Client]acknowledges thatallamountspaidto[AccountingFirm]for
professionalservicesrelatetoservicesalreadyperformedby[AccountingFirm]and
were properly due and paid.
Additionally,aswediscussed,itisagreedthatalloutstandinginvoicesfor
professionalservicesprovided,totaling$[amount],willbepaidto[AccountingFirm]
by[Client]within[#]daysafteracknowledging thisdisengagementletter.Ifpayment
isnotreceivedby[AccountingFirm]within[#]daysafteracknowledgementofthis
letter,thetotalamountowedby[Client]willbeincreasedby$[amount]perdayuntil
fullpayment(includingexpenses)isreceived,pluslegalfeesorcostsincurredasa
result of [Client’s] failure to make timely payment.
[Client] alsoagreesthatitwillreimburse[AccountingFirm] forallcostsor
expenses incurred by[Accounting Firm]if it is called uponat any time in thefuture to
respond to inquiries from client’s affiliates, creditors or shareholders, any governmental
agency,orastheresultofreceivingformallegalprocesssuchas,butnotlimitedto,a
civil,criminalorGrandJurysubpoenaseekingtestimonyordocuments,oran
informationsubpoena.[Client]willreimburse[AccountingFirm]forallreasonable
attorneys'feesincurredandwillcompensate[AccountingFirm]foralltimeexpended
responding to any such inquiry at [Accounting Firm’s] normal hourly rates.
Inthefuture,allinquiriesregardingthesemattersshouldbedirectedto[insert
name of responsible person for Accounting Firm]. Although you may have dealt with
otherindividuals atthis firminthe past,allresponseswillcome from[insertname of
responsiblepersonforAccountingFirm],somakingyourinquiriesdirectlyto[insert
name of responsible person for Accounting Firm] will expedite our answer.
Please acknowledge your agreement with the foregoing by signing a copy of this
letter on the line provided below and returning it to me.
